By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, please refrain from using our services.

2. Description of Service

Utilfi.com connects you with:

  • Accommodation Providers: Hotels, vacation rentals, etc.
  • Experience Providers: Restaurants, tour operators, event organizers, etc.

We facilitate bookings but do not own or operate the accommodations or experiences listed. Our services include:

  • Searching and comparing options for accommodations and experiences.
  • Making and managing bookings.
  • Communicating with providers on your behalf.
  • Posting reviews and ratings based on your stays or experiences.

3. User Accounts

To book accommodations or experiences, you must create an account with accurate information. Requirements include:

  • Being at least 18 years old.
  • Providing valid contact details (e.g., email, phone).
  • Keeping your login credentials secure and confidential.
  • Notifying us immediately of any unauthorized account use.

You are responsible for all activity under your account.

4. Booking Terms and Conditions

4.1 Booking Process

  • Accommodations: Your booking creates a contract directly with the accommodation provider.
  • Experiences: Your booking creates a contract with the experience provider (e.g., a restaurant or tour operator).

Utilfi acts as an intermediary, facilitating both types of bookings.

You must provide accurate guest or participant details and verify all booking information before confirmation.

4.2 Pricing and Payment

Prices are displayed in local currency or supported cryptocurrencies (e.g., Bitcoin, Ethereum) and include applicable taxes, fees, or service charges as indicated.

Payments are processed securely through third-party payment processors. For cryptocurrency payments:

  • You are responsible for sufficient funds in your wallet, including network fees.
  • Cryptocurrency transactions are irreversible, and price volatility may affect the transaction value.

By booking, you authorize us to charge your selected payment method (credit card or cryptocurrency) for the total amount, including any additional fees for experiences (e.g., restaurant service charges).

4.3 No Refunding Policy

All Bookings Non-Refundable: All bookings for accommodations and experiences are final and non-refundable, regardless of circumstances, unless explicitly stated otherwise by the provider at the time of booking.

Exceptions: In rare cases, providers may offer refunds or credits at their discretion (e.g., due to service cancellation by the provider). Any such exceptions will be clearly displayed in the booking confirmation and are subject to the provider's terms.

No Refunds for Changes or Cancellations: Modifications, cancellations, no-shows, or early departures do not qualify for refunds, even if caused by personal circumstances, travel disruptions, or force majeure events (e.g., natural disasters).

Your Responsibility: You are responsible for reviewing the booking details and provider policies before confirming. Utilfi is not liable for any losses due to non-refunded bookings.

4.4 No-Shows and Early Departures

  • Accommodations: No-shows or early departures may result in full charges, as determined by the provider.
  • Experiences: Missing an experience (e.g., a restaurant reservation or tour) or leaving early forfeits the booking without refund or credit, per provider policies.

5. User Conduct and Responsibilities

When using the Platform:

  • Comply with all applicable laws and these Terms.
  • For experiences, follow provider-specific rules (e.g., restaurant dress codes, event arrival times).
  • Do not make fraudulent bookings or misuse the Platform.
  • Submit honest reviews based on your actual experiences, following our content guidelines.

6. Provider Responsibilities

Both accommodation and experience providers are expected to:

  • Provide accurate listing details and honor confirmed bookings.
  • Maintain reasonable quality standards.
  • Comply with local regulations.
  • Offer adequate customer support.

7. Reviews and Ratings

Your reviews must:

  • Reflect genuine stays or experiences.
  • Be respectful and truthful.
  • Adhere to our content standards. We reserve the right to remove reviews that violate these guidelines.

8. Intellectual Property

All content on the Platform is owned by Utilfi or our partners and protected by intellectual property laws. You may use it only for personal, non-commercial purposes.

9. Privacy

Your personal information is managed according to our Privacy Policy.

10. Disclaimers & Liability Limits

  • We strive to keep the Platform operational but cannot guarantee uninterrupted access.
  • We are not liable for issues arising from third-party providers (e.g., restaurant closures, hotel overbookings).
  • Our liability is capped at the booking amount for direct damages.
  • We are not responsible for indirect losses or provider-related issues.

11. Indemnification

You agree to indemnify Utilfi against losses or claims resulting from your misuse of the Platform or breach of these Terms.

12. Disputes

  • Contact our support team first to resolve issues.
  • Unresolved disputes will be settled via binding arbitration in Delaware, USA, under the American Arbitration Association's rules.
  • You waive the right to participate in class actions.

13. Force Majeure

We are not liable for delays or failures due to uncontrollable events (e.g., natural disasters, pandemics).

14. Termination

  • You may delete your account through settings or by contacting support.
  • We may suspend or terminate your account for violations of these Terms.
  • Pre-existing bookings remain subject to provider policies.

15. Changes to Terms

We may update these Terms and will notify you via email or Platform alerts. Continued use after changes indicates acceptance.
